Terms and Conditions

1. Definitions

1.1 “Access Protocols” means the passwords, access codes, technical specifications, connectivity standards or protocols, or other relevant procedures necessary to allow Customer or any Authorized Users.

1.2 “Authorized User” means each of Customer’s employees, agents, partners and independent contractors who are authorized to access the Crisp Solution pursuant to Customer’s rights under this Agreement.

1.6 “Customer Content” means any content provided by, or on behalf of, Customer or its Authorized Users for use with the Services.

1.9 “Licensed Material” means results, reports, materials and documentation made available to Customer.

2. Provision of Services

Crisp will provide Customer with access to the Crisp Solution. Customer will prevent unauthorized access and notify Crisp promptly of any unauthorized use.

3. Intellectual Property; Data

3.1 License Grant. Crisp grants Customer a non-exclusive, non-transferable license to use the Crisp Solution for internal business purposes.

3.5 Open Source Software. Open Source Software may be provided.

4. Data Security

Crisp shall maintain an information security program regarding its processing of Customer Content.

5. Fees and Expenses; Payments

Crisp will charge Fees to Payment Method on the billing date indicated.

6. Customer Content and Responsibilities

Customer will obtain all necessary rights for Crisp to use the Customer Content. Customer is responsible for the accuracy, quality, and legality of Customer Content.

7. Term and Termination

The Agreement will continue in effect as long as any Order Form remains in effect. Either party may terminate the Agreement if the other materially breaches it.

10. Confidentiality

Both parties agree to protect the other’s Confidential Information.

11. Indemnification

Crisp will defend Customer from certain claims. Customer will defend Crisp from claims arising from Customer Content.

12. Miscellaneous

This Agreement constitutes the entire agreement between the parties.
